Main Presenter

Pieter Dorsman, is a seasoned advisor, investor, and mentor who is President & CEO of Redpeaks Management Inc., a consulting firm focused on advising technology companies on capital raising, M&A, and restructuring activities. He has also taken on interim management roles at a number of Canadian tech companies. Pieter is director and CFO at eFund, a Vancouver-based seed stage investment fund that has invested in 42 tech companies to date. He is also serving on a number of boards as chairman for the following tech companies: Lambda Solutions, Interpodia, and VitaminLab. Since 2018 he is the owner and director of Vancouver’s Angel Forum. For Canada’s National Angel Capital Organization (NACO) Pieter has been conducting workshops for angel investors across Canada and internationally, including the Caribbean, since 2015. He also co-created NACO’s common document project, setting a national standard for common, preferred, convertible, and SAFE term sheets

He is a co-founder of Pitch at the Beach, a global startups and investors event taking place on the most beautiful beaches around the world. More than 38 countries take part. He is President of the WBAF Angel Investment Fund with more than 50 angel investors from 32 countries, a partner (GP Assigned) in BillioNeurons USA based, focused on the AI industry. ($ 1 billion USD), President of the Board of investors in “E-Uno” a VC fund investing in the Agro-tech industry., Investor and advisor to Canadian fund, Brickhouse Ventures Ltd, eSports, Sports and Entertainment Technologies. Harry ‘Tomi’ Davies

Harry ‘Tomi’ Davies (TD) is the "Collaborator-in-Chief'' at TVC Labs, an entrepreneurship support organisation in Lagos, Nigeria that invests in tech-enabled startups.  TD is co-founder of the Lagos Angel Network (LAN) , Chairman of the Diaspora Angels Network (DAN) and ccHub Syndicate, founding President of the African Business Angel Network (ABAN), board member of the Global Business Angel Network (GBAN), member of the Programme Advisory Committee of RevUP Caribbean Limited and Innovation Committee Chair at the Lagos State Science, Research and Innovation Council (LASRIC). He is Chairman of TextNigeria (Telecoms) and Powerstove (Cleantec), Non-Executive Director at MBO Capital (Private Equity) and board member at Big Cabal Media (Media & Entertainment) and Laptops4Learning (L4L) Nigeria (Edutech NGO).  TD is an angel investor with a growing portfolio of tech-enabled startup ventures originating from Africa whose founders and their local investors are the inspiration of his 2023 book “Investment Worthy Startup” which lays out his POEM Framework as a tool for building tech-enabled startups on the African continent.
Sandra A. C. Glasgow

Sandra A. C. Glasgow

Sandra A. C. Glasgow is the Founder and Managing Director of BizTactics Limited, a consulting company dedicated to mentoring growth-aspiring firms and promoting best-in-class corporate governance in the Caribbean. She is an Angel Investor having personally invested in several local companies and is a  Co-Founder of Jamaica’s first Angel Investor Network, FirstAngelsJA and Managing Director of RevUP Caribbean Limited. .  In 2021, she was named one of the top 50 Caribbean Women in Technology.  In 2019 she was appointed a Senator representing Jamaica at the World Business Angels Investment Forum (WBAF).  She was Jamaica’s Eisenhower Fellow in 2000.  She is the Founder of the Technology Innovation Centre, Jamaica’s first technology business Incubator, at the University of Technology, Jamaica.  A graduate of the University of the West Indies, she holds a Bachelor of Science Degree and a Master’s Degree in Business Administration, with a specialisation in the Management of Technology.. She is a Board Leadership Fellow of the National Association of Corporate Directors (NACD) and serves on a number of boards of private and publicly listed companies, including the NCB Financial Group and National Commercial Bank Jamaica Limited
Brando Hayden

Brando Hayden

Brando Hayden is the Managing Director of JN Fund Managers and JN Private Capital, representing JN as an associate member of FirstAngelsJA.  He has over two decades of diverse experience specializing in global treasury, asset management and institutional sales and trading.  His career in financial services covers emerging market fixed income trading at Bankers Trust, currencies at Morgan Stanley, energy derivatives at Enron Global Markets and equity derivatives at UBS.  Mr. Hayden’s experience also includes senior positions with financial services firms in Jamaica. He served as Head of Trading for NCB Capital Markets, Head of Trading at JMMB and Head of Treasury at JNBS. A graduate of Munro College (Potsdam, St. Elizabeth), Mr. Hayden holds an MBA in Finance and International Business from New York University’s Leonard N. Stern School of Business and a BBA in Finance from The City University of New York, Baruch College

Melanie Subratie

Melanie Subratie is the Deputy Chairman of Musson (Jamaica) Limited and is the Chairman and CEO of Stanley Motta Limited and Felton Property Management. Additionally, she is the Executive Chairman of the Musson Foundation and the Seprod Foundation. Melanie is the Vice-Chairman of General Accident Insurance Company Ltd. and T. Geddes Grant Ltd, a director of Facey Group, Interlinc Limited, Eppley Limited, Eppley Caribbean Property Fund, PBS Group and all its subsidiaries, Seprod Ltd and all its subsidiaries. She is Chairman of the Audit Committee for Seprod Ltd, Interlinc Limited, and PBS Group. A keen angel investor, she is a member of FirstAngelsJA,(FAJ) and a director of BookFusion Ltd, one of FAJ’s portfolio companies.
Wayne Sutherland

Wayne Sutherland

Wayne Sutherland, an experienced investor who has been advising Founders and investing in start-ups for many years as an Angel investor, one of the early members of the FirstAngelsJA Network, and a member of the Board of First Angels Jamaica Limited.  His Company, Ventco Limited is a holding company for many of his investments.  For 14 years, he was managing director of the Jamaica Venture Fund.  A chartered accountant, he is skilled in negotiation, business planning, and Entrepreneurship. He has C-suite experience in manufacturing, strategy, and IT and is an MBA graduate of Columbia Business School at Columbia University.

Effective communication of investment preferences and value propositions is essential. Thorough due diligence plays a vital role, in impacting the startup and the Angel investor-founder relationship. Founders may face stress while managing due diligence requests for information, documentation, analysis, projections, and meetings amidst driving company growth. The webinars cover sourcing deals, screening opportunities, managing deal flow, due diligence and deal negotiation processes, evaluating the team's human, intellectual, and social capital, and assessing investment prospects.

Webinar 3 – Making Good Deals, Deal Structure, Terms

Angel investors have diverse preferences when it comes to deal terms, which can be influenced by factors such as local ecosystem norms, government incentives, or their Angel group's practices. The future financing needs of the company can also impact the deal structure, such as adopting a value-added funding model or considering follow-on financing or venture capital funding. The webinar covers negotiation fundamentals, deal structure considerations, the term sheet, syndicating deals, and the final step of signing the deal.

Determining equity stake for an Angel Investor is a fundamental and contentious topic in early-stage investing. It depends on deal terms, funding requirements, and competition among investors. Unlike the public stock market, private stock market prices are negotiated between buyers and sellers. The webinar introduces the topic, covers valuation approaches, examines the advantages and disadvantages of high and low valuations, and presents perspectives from founders and investors.

Entrepreneurs and Angels anticipate a valuable exit within 3 to 6 years but should plan for longer and potentially more capital-intensive exits. Early exit planning aligns business strategy and stakeholder expectations, increases the likelihood of a successful close, accelerates deal completion, and enhances company valuation. The webinar covers the benefits of early exits, maintaining adequate cash flow, leveraging Angel connections, exploring mergers and acquisitions, initial public offerings, secondary offerings, dividends, royalties, and buy-backs, as well as understanding the risks of fast failure, expensive failure, and zombie companies.
